Most widely mentioned in party circles are two vigorous young congressmen Rep. Charles Goodell, 42, of upstate New York (a member of the House GOP leadership) and Rep. Og-den "Brownie" Reid, 42, of suburban Westchester County. Say Gardner Suited However, influential Rockefeller advisers have told the governor that Kennedy's seat deserves a national appointment and the highly respected Gardner would be admirably fitted to fill it.

A fourth back-up possibility being considered by Rockefeller is financier C. Douglas Dillon, secretary of the Treasury under both President Kennedy and President Johnson and a pallbearer at Sen. Kennedy's funeral. The fact that Dillon is a resident of New Jersey (and is a New Jersey delegate to this year's Republican national convention) does not legally or constitutionally disqualify him as Kennedy's successor. There remains a possibility that Rockefeller might name a strictly seat-warming senator such as Kenneth B.

Keating, who lost the seat to Kennedy in 1964 and is now a state appeals judge. But there is no chance that Rockefeller will appoint a Kennedy By ROWLAND EVANS and ROBERT NOVAK WASHINGTON Gov. Nelson Rockefeller has decided to offer Robert F. Kennedy's Senate seat to Mayor John V. Lindsay of New York City.

Whether Lindsay will accept when the offer is made probably after the New York state primary election Tuesday is anybody's guess. Lindsay's closest associates believe be will politely decline the seat If he does, among the few names under serious consideration by Rockefeller is a surprise: John Gardner, a nonpolitical Republican who quit earlier this year as President Johnson's secretary of health, education and welfare. Although Rockefeller's quarrels with Lindsay often have been pointed, he feels strongly that at least the offer should be made to the mayor as Kennedy's logical successor. Feel Should Accept Indeed, some of Lindsay's advisers feel he should accept and rid himself of the back-breaking mayor's job. But that would mean turning City Hall over to an organization Democrat Frank O'Connor, president of the City Council for the remaining 18 months of Lindsay's term.
